Terms of Service

Draft for legal review. These terms describe how the service is intended to operate. They have not been reviewed by a qualified lawyer in Kuwait and should be before the service is sold.
1. This agreement
These terms govern your use of SocialVibe. By creating a workspace you accept them on behalf of your business, and confirm you are authorised to do so.
Creating a workspace does not by itself entitle you to use it. We review every new account before it can message anyone, and we may decline without giving reasons. If we decline, we refund the activation fee in full.
2. What the service is
SocialVibe is software for managing customer conversations on WhatsApp: a shared inbox, contact records, message templates and campaigns. It is built on the official WhatsApp Business Platform operated by Meta.
3. Your WhatsApp account and Meta
This section matters more than any other, so it is stated plainly.
- Your WhatsApp Business Account is yours. You connect it, you own it, and if you stop using SocialVibe it remains yours along with your phone number.
- Meta’s rules apply to you directly. Your use of WhatsApp is also governed by Meta’s WhatsApp Business Terms and Messaging Policy. We cannot waive them.
- Meta can restrict or ban a number. Quality ratings, messaging limits, template approvals and account bans are Meta’s decisions, not ours. We surface them and help you respond, but we cannot overturn them.
- Message charges are billed by Meta. Under our current model, Meta charges you directly for the messages you send. Our subscription fee is separate. If this changes we will tell you before it applies.
- Moving a number has consequences. Connecting a number to the WhatsApp Business Platform means it can no longer be used in the WhatsApp Business app, and existing chat history does not transfer. We will tell you this before you begin.
4. Acceptable use
One business behaving badly damages the WhatsApp application that every business on this platform shares. So these are enforced, not merely stated:
- Only send marketing to people who agreed to receive it, and honour every opt-out immediately.
- Do not send unlawful, deceptive, harassing or misleading content.
- Do not impersonate another business or person.
- Do not use the service to send unsolicited bulk messages.
- Do not attempt to reach data belonging to another business on the platform.
We may suspend a workspace whose behaviour threatens the platform’s standing with Meta. Where circumstances allow we will warn first, but we may act immediately when the risk is serious.
5. Your data
Your conversations, contacts and templates belong to you. We hold them to provide the service and handle them as described in our Privacy Policy. You are responsible for having a lawful basis to message your customers, and for the content you send.
6. Fees
- A one-off activation fee is payable when you sign up. It covers setting up your account and reviewing your application. If we decline your application we refund it in full; once we have approved you it is not refundable.
- Subscription fees are stated when you sign up and are billed in advance.
- Fees are quoted in Kuwaiti dinar (KWD) unless agreed otherwise.
- We issue an invoice each time you pay us — the activation fee, each subscription period, and each time you add campaign credit.
- Message charges from Meta are separate and billed by Meta directly.
- We may change subscription pricing with at least 30 days’ notice. Changes do not affect a period already paid for.
7. Availability
We work to keep the service available and will give notice of planned maintenance where we can. We do not promise uninterrupted service, and we are not responsible for interruptions caused by Meta, WhatsApp, or our hosting provider.
8. Ending the agreement
- You may cancel at any time. Service continues to the end of the paid period.
- On cancellation you may export your data. We delete it within 90 days, apart from records we must keep.
- We may end this agreement for a serious or repeated breach of the acceptable use rules, or non-payment.
9. Liability
To the extent the law allows, our total liability in any twelve-month period is limited to the subscription fees you paid us in that period. We are not liable for lost profits, lost business, or losses arising from Meta restricting or banning your WhatsApp account.
10. Changes to these terms
We may update these terms. Material changes will be notified at least 30 days before they take effect, and continuing to use the service after that constitutes acceptance.
11. Governing law
These terms are governed by the laws of the State of Kuwait, and the courts of Kuwait have exclusive jurisdiction.
